Terms of Service

1. Eligibility & account

You must be at least 18 years old and authorized to act on behalf of any organization you register. You are responsible for the security of your account and all activity under it. Notify us immediately at info@vitarelay.com of any unauthorized access.

2. Platform role

VitaRelay is a healthcare logistics and ordering platform. We do not provide medical care, prescribe medications, or make clinical decisions. Prescribing and dispensing are performed by licensed providers and pharmacies acting independently within their scope of practice.

3. Acceptable use

• Do not use the service to violate any law, regulation, or third-party right.
• Do not attempt to interfere with, probe, or scan our infrastructure.
• Do not transmit malware or attempt to access data you are not authorized to access.
• Do not use the service to send unsolicited communications or spam.

4. SMS messaging program

By opting in to SMS during registration or in your account settings, you authorize VitaRelay to send recurring automated text messages from VitaRelay to the mobile number you provide for account verification (2FA), security alerts, order and prescription updates, and occasional service announcements. Consent is not a condition of purchase or of using the platform. Message frequency varies and is typically fewer than 10 messages per user per month. Message and data rates may apply. You may reply HELP for help or STOP at any time to unsubscribe.

You agree that you are the subscriber or customary user of the mobile number you provide and that you will notify VitaRelay if the number changes. Full program disclosures are available on the SMS Messaging & A2P 10DLC Compliance page.

5. Fees & payments

Fees, commissions, and payout terms applicable to your account type are described in your in-product agreements and order confirmations. You authorize VitaRelay to charge your designated payment method for amounts owed.

6. Affiliate commission structure (net-profit model)

Affiliate commissions on prescription (Rx) orders are calculated on net profit, not gross revenue. For purposes of these Terms, Net Profit means the amount remaining after subtracting the actual product sourcing cost (pharmacy wholesale or pharmaceutical supplier cost) from the price charged to the practice, clinic, or consumer.

Formula: Net Profit = Sale Price − Product Sourcing Cost. The Net Profit is split 50% to the Affiliate and 50% to VitaRelay. The pharmacy or supplier always receives its full sourcing cost.

Commissions are paid on net profit because paying on gross revenue could exceed the actual profit on a sale and make the program unsustainable. The net-profit model aligns incentives — the Affiliate is rewarded for higher-margin accounts and volume, while VitaRelay funds the software, fulfillment, vendor relationships, payment infrastructure, operations, and customer service required to run the program.

Vita Rep Partners (downline). A recruiting Vita Rep may assign a portion of their own 50% share to downline partners they recruit. Downline payouts come out of the recruiting Vita Rep's share — VitaRelay always retains its 50%.

503a / 503b pharmacy orders. Regulated 503a and 503b pharmacy orders are not eligible for affiliate commission; the full spread is retained by VitaRelay to cover regulatory and operational overhead.

Supplement marketplace. The supplement marketplace operates on a separate gross-revenue fee structure described in your in-product agreements and is not governed by the net-profit model above.

7. Intellectual property

VitaRelay retains all rights, title, and interest in the platform, including all software, design, and trademarks. You may not copy, modify, reverse engineer, or create derivative works of the platform.

8. Confidentiality

Pricing, pharmacy identities, fulfillment details, and other non-public information provided through the platform are confidential. You will not disclose them to any third party except as required to perform your obligations under these Terms.

9. Disclaimers

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, VitaRelay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability for any claim arising out of or relating to the service will not exceed the amounts paid by you to VitaRelay in the 12 months preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate your account for breach of these Terms or for legal, regulatory, or security reasons. You may close your account at any time. Sections intended to survive termination will survive.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Exclusive jurisdiction for any dispute lies in the state and federal courts located in Delaware.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by posting a new effective date and, where appropriate, by email or in-product notice.
